Digital securities, also known as security tokens, refer to shares, bonds, fund units, and other capital markets products that are digitally represented on a blockchain. In Singapore, they are regulated under the Securities and Futures Act in the same manner that traditional capital markets products are regulated.

Access to clients’ digital assets is secured with MPC (Multi-party computation) cryptography technology for stronger and more robust protection of digital assets.

Securing digital assets boils down to preventing attackers of gaining access to the private key. Traditional cryptocurrency exchanges utilise multi-signature wallets, in which corporate officers are responsible to protect their private keys and sign off on transactions. Multi-signature wallets have shown to be vulnerable and led to many instances of hacks.

With MPC, no single private key exists at any point in time. Instead, the private key is broken up into separate key shares that are encrypted and divided among multiple parties. These parties will independently compute their parts using the private key share they hold to produce a signature without revealing the encryption to the other parties. This means there is never a time when the private key is formed in one place.


Digital assets are assets that are stored digitally, uniquely identifiable, and provide value. These include security tokens, stablecoins, NFTs and other digital currencies. 

Digital assets are created and stored electronically in the blockchain, secured with cryptography to control all transactions including the creation and verification of transfers.

There are a growing number of digital assets currently in circulation, but the most popular to date are Bitcoin (BTC), Ether (ETH) and USD Coin (USDC).

**“Personal data”** means any data about an individual who can be identified from that data, as more

Generally, the Exchange collects, uses and/or discloses personal data, and you consent to such
collection, use and/or disclosure by the Exchange, for the following purposes:

(a) to provide products and services to you;

(b) to communicate with you on matters relevant to your relationship with or interest in us;

(c) to assess and improve the products and services that you use or may use;

(d) to selectively send you information about products, services, activities and/or events that
may be relevant to you;

(e) to use in custom audiences tools and sharing functionalities to create custom audiences to
whom the Exchange may disseminate information about future activities and opportunities;

(f) to fulfil the contractual/legal obligations under the contracts or other legal arrangements entered
into between us and you, or entered into between the Exchange’s related corporations,
affiliates, partners and/or representatives and you;

(g) to protect and enforce our contractual and legal rights and obligations;

(h) to verify your identity;

(i) to prevent, detect and investigate crime, including fraud and money-laundering, and analyse
and manage other commercial risks;

(j) to conduct audits, reviews and analysis of our internal processes, for action planning and
managing commercial risks;

(k) to manage the safety and security of our premises and services (including but not limited to
carrying out CCTV surveillance and conducting security clearances);

(l) to comply with any applicable rules, laws and regulations (including any laws and regulations
relating to anti-money laundering, countering the financing of terrorism, and tax reporting
obligations), codes of practice or guidelines or to assist in law enforcement and investigations
by relevant law enforcement agencies, regulatory authorities and other governmental agencies,
anywhere in the world;

(m) to provide such personal data to issuers on our platform and/or their fund managers (where
applicable) to allow them to comply with any applicable rules, laws and regulations (including
any laws and regulations relating to anti-money laundering, countering the financing of
terrorism, and tax reporting obligations), codes of practice or guidelines or to assist in law
enforcement and investigations by relevant law enforcement agencies, regulatory authorities
and other governmental agencies (including tax authorities), anywhere in the world;

(n) to provide such personal data to:
- (i) the fund managers;
- (ii) banks;
- (iii) professional advisors; and
- (iv) other agents or service providers,
     engaged by the issuers on our platform, in order for such parties to continue providing their
     services from time to time, including but not limited to the processing of such personal data for
     the purposes of record keeping, compliance, regulatory, legal, audit, tax, analysis of their 
     business and providing token holders with regular statements of account as well as other
     notices; and/or

(o) any other purpose relating to any of the above.

We may share personal data with our related corporations, services providers, agents and other third
parties for the purposes set out above and any other reasonable ancillary purposes, for legal reasons,
or where permitted under the PDPA and other applicable laws, such as in response to law enforcement
agencies.

If we transfer personal data to countries outside Singapore, it will be done in accordance with the
relevant provisions under Singapore laws and regulations. We will also comply with the relevant laws
and regulations in relation to transfers of personal data outside countries where the personal data is
collected.

### Third Party Data

Where you disclose personal data of other individuals to us, you warrant that such individuals have
consented to us collecting, using and/or disclosing such personal data for: (i) the relevant purpose for
which you made the disclosure or as was notified to you at the relevant time; and (ii) the other purposes
as described above in this Privacy Policy.

### Marketing Communications

It is in our legitimate interests to process personal data to selectively contact you and/or send you
information about products, services, activities and/or events that may be relevant to you
(**“Marketing Communications”**).

## ADDX Promo Code Terms and Conditions

### General

These Terms and Conditions (“**Terms**”) shall apply in any instance in which a Prospective Customer of ADDX Pte. Ltd. and/or its affiliate(s) (“**ADDX**”) applies to become a Participant on the ADDX Platform using a Promo Code. By applying to become a Participant on the ADDX Platform using a Promo Code, a Prospective Customer agrees to and is bound by these Terms. ADDX may amend these Terms at any time.

### Definitions

1. For the purposes of this Terms, the following terms shall have such meanings ascribed to them:

- “**Account Opening Cut-Off Date**” refers to such date by which a Prospective Customer needs to have successfully become a Participant to be entitled to Rewards Credit under any Promotion in accordance with these Terms as ADDX may in its sole discretion specify and/or amend in its sole discretion. 
- “**ADDX Wallet**” means, in relation to a Participant, the digital wallet provided to such Participant by the Exchange to which Rewards Credit will be credited.
- “**ADDX Platform**” the trading platform operated by ADDX accessible via the ADDX Website.
- “**ADDX Website**” means the website with the URL: [www.addx.co](https://www.addx.co) or such other URL as ADDX may specify in its sole discretion
- “**Eligible Jurisdiction**” means any jurisdiction where the usage of the ADDX Platform or the operation of the Promotion are each not prohibited or restricted in any way, as may be determined by ADDX in its sole discretion.
- “**Exchange Rules**” means the provisions of the rulebook entitled “Exchange Rules” that are published by ADDX and which may be found on the ADDX Website, as may from time to time be amended, modified, supplemented or replaced.
- “**Participant**” means a person who has opened a trading account on the ADDX Platform and whose trading account is valid and subsisting (whether or not suspended).
- “**Platform Terms and Conditions**” means the terms and conditions for use of the ADDX Platform as may from time to time be amended, modified, supplemented or replaced.
- "**Promotion**” refers to any promotional/marketing campaign conducted by ADDX, including any such campaign involving the use of a Promo Code and/or otherwise entitling a Prospective Customer to Rewards Credits.
- “**Promotion Period**” refers to the period of any Promotion, as ADDX may in its sole discretion specify and/or extend in its sole discretion.
- “**Promo Code**” ” refers to any alphanumeric code(s) and/or sign-up link associated with a Promotion entitling a Prospective Client to the Rewards Credit if used by the Prospective Customer in applying to become a Participant on the ADDX Platform in accordance with the Terms set out herein as ADDX may in its sole discretion designate from time to time, and includes any Promo Code which ADDX has assigned to existing Participants (hereinafter, a  “**Referral Code**”).
- “**Prospective Customer**” means persons who are not: (a) Participants, (b) Intermediary Participants, or (c) EAM Users as defined in the Exchange Rules.
- “**Qualifying Investment**” means either (but not both) of the following: (a) subscription for an offering of new security tokens issued on the ADDX Platform, or (b) buy trade(s) on the ADDX Platform but, for the avoidance of doubt, does not include sell trade(s) on the ADDX Platform.
- “**Rewards Credit**” means such sum(s) as may be credited to the ADDX Wallet of any Participant on the ADDX Platform in connection with any Promotion in accordance with these Terms, as may be determined and/or adjusted by ADDX in its sole discretion from time to time, and includes any such sums credited as ADDX Fiat Tokens (as defined in the Platform Terms and Conditions).
- “**Redemption Period**” ”, in respect of any Rewards Credit which are not credited as ADDX Fiat Tokens, refers to the period from the date after the Rewards Credit is credited in which the Rewards Credit may be utilised in accordance with these Terms, as may be specified and/or extended by ADDX from time to time, after which it shall expire and can no longer be used.
- “**USD**” means the currency of the United States of America.
- Any reference to dates and time shall be to Singapore time (GMT+8:00).


### Eligibility and Use of the Promo Code

2.	To be entitled to Rewards Credit under any Promotion, a Prospective Customer shall:

- (a)	meet all of the requirements set forth in the Exchange Rules and the Platform Terms and Conditions to become a Participant on the ADDX Platform;
- (b)	reside in an Eligible Jurisdiction; and 
- (c)	apply to become a Participant and to submit their application during the applicable Promotion Period and have successfully become a Participant on or before the Account Opening Cut-Off Date.

- For the purposes of paragraph 2(c):

- (i)	a Prospective Customer shall be required to either enter the Promo Code when prompted during the application process or to initiate the application process through the Promo Code; 
- (ii)	if a Prospective Customer uses or attempts to use more than one (1) Promo Code in the course of the application process, including for any other Promotion, ADDX shall be entitled in its sole discretion to only accept any one (1) or any combination of the Promo Codes used by the Prospective Customer. A Prospective Customer should ensure that any Promo Code(s) used are valid, applicable to the Prospective Client, and have been accurately entered. ADDX shall not be responsible or liable for any wrong or invalid Promo Code applied by any Prospective Customer; 
- (iii)	ADDX shall only consider an application to be submitted by a Prospective Customer when the Prospective Customer has submitted such application via the “Submit Application” function (howsoever described) on the ADDX Platform and have included in such application all necessary information and documents. In the event additional information and/or documents are required by ADDX in respect of an application, the date of submission of the application shall be the date on which such additional information and/or documents are provided. In the event an application is rejected and the Prospective Customer submits a new application, ADDX shall be entitled to consider the date of submission of the new application only; and
- (iv)	ADDX shall review applications from each Prospective Customer in accordance with the Exchange Rules and the Platform Terms and Conditions. All applications to become a Participant are subject to, among other things, the provision of required personal data, and the successful completion of the relevant client due diligence processes by ADDX, and any inability, refusal, or delay in completing the application process may result in ADDX disqualifying such Prospective Customer from being entitled to Rewards Credit under the Promotion. Notwithstanding, ADDX may, in its sole and absolute discretion, decide whether or not to open a trading account for any Prospective Customer upon the receipt of any account application.

3. A Promo Code may only be used once by each Prospective Customer. ADDX may, at its sole and absolute discretion, impose restrictions on the total number of times a Promo Code may be used.
4. Where the Promo Code used by a Prospective Customer is a Referral Code, ADDX may, in connection with any Promotion, credit the Participant associated with that Referral Code (where applicable, the "Referrer"", and the relevant Prospective Customer, the "Referee"") with such amount of Rewards Credit as it may determine in its sole discretion. The use of such Rewards Credit shall be subject to these Terms and the Referrer agrees to be bound by the same.
5. ADDX may in its sole discretion adjust the Promotion Period and Account Opening Cut-Off Date at any time without prior notice.

### Rewards Credit

6. The following terms shall apply in respect of any Rewards Credit:
- (a)	In respect of the Rewards Credit to be credited to any Participant on the ADDX Platform in connection with any Promotion:
(i)	the Rewards Credit shall be of such amount and currency as ADDX may prescribe, and which ADDX may amend, in its sole discretion from time to time without prior notice; and
(ii)	ADDX will endeavour to credit the Rewards Credit to the ADDX Wallet of a Prospective Customer who has successfully become a Participant on the ADDX Platform (or their associated Referrer, if applicable) in connection with any Promotion within thirty (30) days thereof. 

- (b)	Upon being credited, Rewards Credit which were not credited as ADDX Fiat Tokens:
(i)	will be automatically applied in full, and cannot be disapplied, towards the next Qualifying Investment made by the Participant (including where applicable any fees and taxes applicable in respect of such Qualifying Investment) during the Redemption Period where the currency of the Rewards Credit is the same currency applicable to the Qualifying Investment.
(ii)	shall be valid for the Redemption Period, after which it shall expire and cannot be used.
(iii)	are non-transferrable and cannot be converted into ADDX Fiat Tokens as defined in the Platform Terms and Conditions; and 
(iv)	may not be withdrawn by the Participant from their ADDX Wallet for any reason.

7. Rewards Credit may be converted into any foreign currency available on the ADDX Platform based on the exchange rate shown on the ADDX Platform. Paragraph 6.6.1 of the Specific Terms in the Platform Terms and Conditions shall apply in respect of such foreign currency exchange transaction. Save for Rewards Credit which were credited as ADDX Fiat Tokens, a Participant may only convert the full amount of the Rewards Credit in their ADDX Wallet, and not partial amounts.

### Miscellaneous

8.  ADDX reserves the right, at its sole and absolute discretion and without needing to provide any reason, to:
- (a)	disqualify any Prospective Customer (or class thereof) at any time from being entitled to Rewards Credit under any Promotion;
- (b)	determine that any condition and/or requirement entitling any Participant to Rewards Credit has not been fulfilled;
- (c)	reject any application to become a Participant on the ADDX Platform from any Prospective Customer;
- (d)	in respect of Rewards Credit which were not credited as ADDX Fiat Tokens, modify the amount and/or currency of the Rewards Credit issued to any Participant on the ADDX Platform, debit a Participant’s ADDX Wallet of any credited Rewards Credit and/or substitute the Rewards Credit with another reward of equivalent or similar value without prior notice, or assumption of liability to the Participant; and
- (e)	not credit any Rewards Credit to a Participant notwithstanding that the Participant has otherwise fulfilled the other requirements set out in these Terms to be credited with Rewards Credit.

9. ADDX shall not be required to inform any Prospective Customer whether such Prospective Customer is eligible for any Promotion, and/or about any details of any Promotion.
10. ADDX shall not be liable for any delay in crediting the Rewards Credit to any Participant.
11. By applying to become a Participant on the ADDX Platform using a Promo Code, each Prospective Customer agrees to:
- (a)	release ADDX, its related corporations, affiliates, suppliers, advertising, and promotions agencies and their respective directors, officers, employees, and agents from any and all liability arising from any loss, harm, damages, cost, or expense, including without limitation, any property damages, personal injury and/or death, arising out of or in any way connected to any Promotion, and waives any claim to the same.
- (b)	indemnify, defend, and hold ADDX, its related corporations, affiliates, and their respective representatives, directors, officers, employees, and agents harmless from and against any and all third party claims, demands, liabilities, costs, or expenses, including attorney’s fees and costs, arising from, or relating to any breach of any of these Terms or any violation of applicable laws, rules and regulations.

12. **Taxes**. Rewards Credit may be taxable depending on the country, state, and/ or local tax laws applicable to the Participant. Participants are solely responsible for reporting such items in their tax returns and paying any associated tax(es) and liabilities. 
13. ADDX may terminate or suspend any Promotion, or amend or update these Terms, in its sole and absolute discretion, at any time without providing prior notice.
14. Any determination made by ADDX in respect of all matters relating to any Promotion shall be at its sole and absolute discretion and shall be final, conclusive and binding on all Participants and Prospective Customers.
15. In the event of any inconsistency between any marketing materials relating to any Promotion and these Terms, these Terms shall prevail.
16. These Terms are governed by the laws of Singapore. Any dispute arising from these Terms are subject to the exclusive jurisdiction of the courts of Singapore.
17. A person who is not specified in these Terms shall have no rights under the Contracts (Rights of Third Parties) Act 2001 to enforce any term of these Terms.

## ADDX Rewards Programme Terms and Conditions

### General

ADDX Rewards Programme is a programme where a Participant may be able to enjoy benefits based on their achievement of specified qualifying criteria as described in these ADDX Rewards Programme Terms and Conditions (“Rewards Terms”). Successful registration for a ADDX trading account will include an automatic participation into the ADDX Rewards Programme that allows the Participant to earn ADX$. These Terms supplement the [ADDX Platform Terms and Conditions, ADDX Exchange Rules, respective Promotion terms and conditions and all other applicable rules], of which these Rewards Terms form a part. By using the ADDX Platform, the Participant agree to and is bound by these Rewards Terms. ADDX may amend these Rewards Terms at any time without notice.

### Definitions

1. For the purposes of this Rewards Terms, the following terms shall have such meanings ascribed to them:
 
- “**ADX$**” means such sum(s) as may be credited to the ADDX Wallet of any Participant on the ADDX Platform in connection with any Promotion in accordance with these Rewards Terms, as may be determined and/or adjusted by ADDX in its sole discretion from time to time [means the ADDX Rewards points earned by a participant subject to these Rewards Terms].
- “**ADDX App**” means the ADDX smartphone application for Apple iOS and Android platforms developed by ADDX,
- “**ADDX Wallet**” means, in relation to a Participant, the digital wallet provided to such Participant by the Exchange to which ADX$ will be credited.
- “**ADDX Platform**” the trading platform operated by ADDX accessible via the ADDX Website and/or ADDX App.
- “**ADDX Website**” means the website with the URL: [www.addx.co](https://www.addx.co) or such other URL as ADDX may specify in its sole discretion.
- “**Participant**” means a person who has opened a trading account on the ADDX Platform and whose trading account is valid and subsisting (whether or not suspended).
- “**PDPA**” means Personal Data Protection Act 2012 of Singapore
- "**Promotion**” refers to any promotional/marketing campaign conducted by ADDX entitling a Participant to ADX$.
- “**Redemption**” means the redemption of ADX$ by the Participant for Rewards.
- “**Rewards**” means the vouchers, e-vouchers, rewards credits (as defined in the ADDX Promo Code Terms and Conditions), products and/or services redeemable by the Participant in exchange for ADX$.
- “**Redemption Period**”, in respect of any ADX$, refers to the period from the date after the ADX$ is credited in which the ADX$ may be utilised in accordance with these Terms, as may be specified and/or extended by ADDX from time to time, after which it shall expire and can no longer be used.


### Issuance of ADX$

2. To be entitled to ADX$ under any Promotion, a Participant shall:
- 2.1 fulfil the qualifying criteria and meet all the requirements as set forth in the Promotion; and
- 2.2 remain in compliance with all other [prevailing terms and conditions of ADDX].

3. Participants who are found to be in breach of any such [prevailing terms and conditions of ADDX] may, at the ADDX’s discretion, forfeit all accrued ADX$ and/or their eligibility to participate in the ADDX Rewards Programme.

4. ADX$ will not be credited into the Participant’s ADDX Wallet, until:
- 4.1 the Participant’s successful completion of the specific Promotion is determined by ADDX to be valid; and
- 4.1 the Participant’s successful completion of the specific Promotion is determined by ADDX to be valid; and  

5. ADDX may cancel and/or delete and/or otherwise deduct ADX$ that have already been credited into the Participant’s ADDX Wallet at our absolute discretion, including under the following circumstances:
- 5.1 ADX$ claimed in breach of any of these [Rewards Terms, Promotion terms and conditions and/or any other prevailing Terms and Conditions;] and/or
- 5.2 ADX$ erroneously awarded due to system or computer glitches or any other reasons or errors or omissions.

6. ADX$ has no cash value. ADX$ are not redeemable for cash and are not transferable or assignable for any reason or any purpose. ADX$ are not transferable between ADDX trading accounts. The sale, transfer, or assignment of any accrued ADX$ is strictly prohibited, and any ADX$ which ADDX deems at its absolute discretion to have been transferred, sold or assigned in violation of these Rewards Terms may be confiscated, deleted, forfeited and/or cancelled.

7. ADX$ in the ADDX Wallet are voided and cancelled upon cancellation or termination or expiry of the Participant’s ADDX trading account, howsoever caused. For the avoidance of doubt, the Participant shall not be entitled to any compensation whatsoever in respect of any ADX$ which are voided or cancelled. There shall be no compensation, encashment, or refund whatsoever for unused ADX$. ADX$ which are voided, cancelled, forfeited, or deleted will not be accepted in exchange for any Rewards or other reward whatsoever.

8. Participants may check the amount of ADX$ that they have via the ADDX Platform or via such other means as may be determined by ADDX from time to time at its absolute discretion.

### ADX$ Validity

9. All ADX$ issued shall be valid only for the Redemption Period, after which it shall expire and cannot be used.

10. All unredeemed and/or unused ADX$ following the expiry of the Redemption Period will be forfeited and no compensation, encashment or refund will be provided for such unredeemed and/or unused and/or expired ADX$. 

11. ADDX may without liability and from time to time, amend the validity and/or grace period of any of the ADX$ at its absolute discretion with or without notice to the Participant.

### ADX$ Validity

12. Subject to these Rewards Terms, Participants can accrue ADX$ and redeem them for such Rewards on the ADDX Platform may be determined by ADDX from time to time at its absolute discretion.

13. The list, category and nature of Rewards and the number of ADX$ required for the redemption of the respective Rewards shall be determined by ADDX at its absolute discretion. For the avoidance of doubt, ADDX may from time to time amend the number of ADX$ required for Redemption of Rewards and the list and type of Rewards may be varied and/or substituted by us from time to time, without notice to the Participant.

14. Reward items are offered on a first-come-first-served basis, subject to availability and/or whilst stocks last.

15. Once a request for Redemption is submitted, it cannot be amended, cancelled, or withdrawn.

16. Upon redemption of Rewards, the Participant’s ADX$ recorded in his/her ADDX Wallet will be debited and reduced by the corresponding number of ADX$.

17. After Redemption, Rewards may not be exchanged for cash and/or ADX$ and/or any other Reward or item whatsoever. Refunds for and/or replacements of Rewards will not be entertained.

18. Rewards items in the form of third-party e-vouchers and/or products are provided by the participating vendor and subject to such further terms and conditions which may be imposed by each vendor.

19. ADDX shall not be responsible for the quality, merchantability or fitness for any purpose or any other aspect of the products and/or services provided under the Rewards. ADDX, shall at all times, not be held liable for any loss, injury, damage, or harm suffered as a result of availing the products and/or services under the Rewards. Each Participant agrees that ADDX is not and will not be an agent of any third-party vendor, and as such any and all disputes about the quality of products and/or standard of services provided by the vendor shall be solved directly with them.

20. Where a Reward item contains a specified validity period during which it should be utilised, no requests for extensions or replacements whatsoever will be entertained.

### PERSONAL DATA

21. It is a continuing condition of the Participant’s use of the ADDX Platform and participation in the ADDX Rewards Programme, as well as their access to and use of the ADDX Platform that the Participant agrees to and consents that ADDX may collect, use and disclose such Participant’s personal data as provided in the registration of their ADDX Platform, to its affiliates, service providers and partners, for the following purposes in accordance with the PDPA and ADDX’s privacy policy available at ADDX Website:
- 21.1 to administer and manage the ADDX Rewards Program, including to contact the Participant and to conduct verification and other actions in connection with this ADDX Rewards Program for the processing the Participant’s ADX$ accruals and Redemption;
- 21.2 responding to the Participant’s queries, requests and feedback;
- 21.3 informing the Participant of changes and development to ADDX Rewards Programme and/or our policies, terms and conditions and other administrative information, including for the purposes of providing the products and services to the Participant; and
- 21.4 conducting market research and/or analysis, carrying out surveys, improving customer service, managing, improving and enhancing the products and/or services of ADDX.

22. If a Participant requires access to their personal data, make any amendment or correction to their personal data, or wishes to withdraw consent to any specific use of their personal data, the Participant should email ADDX at [dpo@addx.co](mailto://dpo@addx.co).
 
23. The Participant acknowledges that if they choose to withdraw their consent for the collection, use and/or disclosure of their personal data, ADDX may not be able to continue providing the Participant with the products, services, promotions or benefits under the ADDX Rewards Programme. 

24. The Participant agrees to be bound by these Rewards Terms and all other terms and conditions governing the use of such services or benefits in connection with the ADDX trading account, including but not limited to such terms and conditions as ADDX may stipulate, issue or publish from time to time in relation to any promotions, campaigns or programmes that ADDX may undertake or carry out from time to time, as the same may be amended or varied from time to time by ADDX. In the event of any inconsistency between these Rewards Terms and any other terms and conditions, these Rewards Terms shall prevail.

25. ADDX reserves the right, at its sole and absolute discretion and without needing to provide any reason or notice, to:
- 25.1 determine that any condition and/or requirement entitling any Participant to ADX$ has not been fulfilled;
- 25.2 not credit any ADX$ to a Participant notwithstanding that the Participant has otherwise fulfilled the other requirements set out in these Rewards Terms to be credited with ADX$.

26. ADDX shall not be required to inform any Participant whether such Participant is eligible for any entitlement to ADX$.

27. ADDX shall not be liable for any delay in crediting the ADX$ to any Participant.

28. Under no circumstances whatsoever shall ADDX be liable for any indirect, punitive, incidental, special or consequential damages that result from, or arise out of the usage of any information stated herein or the participation in the ADDX Rewards Programme.

29. Notwithstanding any other terms and conditions in these Rewards Terms, each Participant agrees to:
- 29.1 release ADDX, its related corporations, affiliates, suppliers, advertising, and promotions agencies and their respective directors, officers, employees, and agents from any and all liability arising from any loss, harm, damages, cost, or expense, including without limitation, any property damages, personal injury and/or death, arising out of or in any way connected to any Promotion, and waives any claim to the same; and
- 29.2 indemnify, defend, and hold ADDX, its related corporations, affiliates, and their respective representatives, directors, officers, employees, and agents harmless from and against any and all third party claims, demands, liabilities, costs, or expenses, including attorney’s fees and costs, arising from, or relating to any breach of any of these Terms or any violation of applicable laws, rules and regulations.

30. Taxes. ADX$ may be taxable depending on the country, state, and/ or local tax laws applicable to the Participant. Participants are solely responsible for reporting such items in their tax returns and paying any associated tax(es) and liabilities.

31. Although ADDX will use reasonable efforts to notify Participants of material changes to the ADDX Rewards Programme, it is the responsibility of Participants to keep themselves up to that. Any use of the ADDX Rewards Programme will be deemed as acceptance of any amendment.

32. ADDX may terminate or suspend, amend or update these Rewards Terms, in its sole and absolute discretion, at any time without providing prior notice.

33. Any determination made by ADDX in respect of all matters relating to this ADDX Rewards Programme shall be at its sole and absolute discretion and shall be final, conclusive and binding on all Participants.

34. These Rewards Terms are governed by the laws of Singapore. Any dispute arising from these Terms are subject to the exclusive jurisdiction of the courts of Singapore.

35. A person who is not specified in these Terms shall have no rights under the Contracts (Rights of Third Parties) Act 2001 to enforce any term of these Terms.
